They might need the cash for a big personal purchase such as a new house or yacht, or they might need the cash to fund a charity. Sometimes they sell as part of a planned selling program that they have put in place for diversification purposes, which allows them to sell stock in stages instead of selling all at one price.

Other times they sell because they think their stock is overvalued and the risk/reward is no longer attractive. Some even dump their own stock because they have inside knowledge that a competitor is eating their lunch and stealing market share. Just because a corporate insider thinks his or her stock is going to trade higher, that doesn't mean it will play out that way. Insiders can have all the conviction in the world that their stock is a buy, but if the market doesn't agree with them, the stock could end up going nowhere. Also, I say "usually" because sometimes insiders are loaned money by the company to buy their own stock. Those loans are often sweetheart deals and shouldn't be viewed as organic insider buying. At the end of the day, its large institutional money managers running big mutual funds and hedge funds that drive stock prices, not insiders. That said, many of these savvy stock operators will follow insider buying activity when they agree with the insider that the stock is undervalued and has upside potential.     Before the opening bell on Monday, Caterpillar Inc. (CAT) announced its fourth quarter and full year earnings, posting lower revenue compared to last year’s quarterly and FY results.

    CAT’s Earnings in Brief

    Caterpillar reported fourth quarter revenues of $14.402 billion, down 10% from last year’s Q4 revenue of $16.075 billion. The company’s Q4 profit came in at $1 billion, up from last year’s Q4 profit of $697 million. SWK’s EPS for the quarter was $1.54, up from last year’s Q4 EPS of $1.04. CAT beat analysts’ estimates of $1.28 EPS on revenues of $13.64 billion. For the full year, CAT posted revenues of $55.565 billion, down from $65.875 billion, and profit of $3.789 billion versus last year’s $5.681 billion. For the FY2014, CAT expects EPS of $5.85.

    CEO Commentary

    Caterpillar’s chairman and CEO Doug Oberhelman had the following comments about the company’s earnings:�”In such a challenging environment, I am proud of the way our employees came together in 2013. Despite a sales and revenues decline of about $10 billion, we set a record for operating cash flow, strengthened our balance sheet and improved our overall market position for machines. We continued to improve safety in our facilities and the quality of the products we ship each day. Cost flexibility is critical to our strategy and was a significant focus in 2013 as we took substantial actions to help maintain profitability as sales declined. Excluding the impact of cost absorption our�manufacturing costs�and SG&A and R&D expenses were favorable by $1.2 billion compared with 2012.     2Q14 Machinery results are likely to reflect what we view as a still mixed but improving macroeconomic environment that we think could support pockets of strength in Machinery end markets. In particular, we think both North American truck and North American energy markets continue to improve while global construction markets look supportive of continued solid/better-than-expected results (mostly from improved margin) in Caterpillar’s Construction segment. Solid truck, energy and construction markets seem supportive of earnings for Caterpillar as well as truck suppliers Cummins (CMI) and Allison Transmission Holdings (ALSN)…

    Expectations for an EPS beat have risen, but Caterpillar seems well positioned into 2Q earnings, with solid oil and gas markets and gradually improving construction machinery demand supporting results. Despite 2014 consensus EPS slightly above Caterpillar’s guidance range, we expect�Caterpillar to raise its outlook based on a stronger oil and gas market than expected, some improvement in global construction equipment markets, and significant margin leverage as markets begin to recover, although we do expect mining to remain a modest headwind on results.

    Shares of Caterpillar have fallen 0.8% to $110.24 at 2:36 p.m. today, while Cummins has dropped 0.7% to $156.60 and Allison Transmission Holdings has declined 0.8% top $31.40.

    Another big loser was Caterpillar (NYSE: CAT  ) , which lost 0.76% of its value today. One reason shares may have moved lower was the report that the U.S. trade deficit widened more than expected in May. Economists had expected the deficit to hit $40.1 billion, but it came in much higher at $45 billion. The report indicated that exports decayed, which reflects slow or stagnant growth in major markets such as China and Europe. While Caterpillar does derive a large portion of its revenue from the U.S., the company needs other economies to be performing well, or it will suffer. �
